CloudFeast Terms and Conditions

Welcome to CloudFeast! These Terms and Conditions (“Terms”) govern your use of the CloudFeast website, mobile application, and services (collectively, the “Platform”). By accessing or using our Platform, you agree to be bound by these Terms.
1. Definitions
“CloudFeast,” “we,” “us,” or “our” refers to the cloud kitchen food delivery service operating in the Philippines.
“User,” “you,” or “your” refers to any individual or entity using our Platform.
“Services” refers to the food ordering, preparation, and delivery services provided through our Platform.
“Order” refers to a request for food items placed through our Platform.
2. Acceptance of Terms
By registering for an account, placing an order, or using our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms, along with our Privacy Policy and Refund & Cancellation Policy. If you do not agree with these Terms, please discontinue use of our Platform immediately.
3. Eligibility
To use our Services, you must:
- Be at least 18 years of age
- Have the legal capacity to enter into binding contracts
- Provide accurate and complete registration information
- Comply with all applicable laws and regulations in the Philippines
By using our Services, you represent and warrant that you meet these eligibility requirements.
4. Account Registration and Security
4.1 Account Creation
- You must create an account to place orders through our Platform
- You agree to provide accurate, current, and complete information during registration
- You are responsible for maintaining the confidentiality of your account credentials
- You must notify us immediately of any unauthorized use of your account
4.2 Account Responsibilities
- You are responsible for all activities that occur under your account
- You may not share your account with others or allow others to access your account
- You may not create multiple accounts or create accounts using automated means
- CloudFeast reserves the right to suspend or terminate accounts that violate these Terms
5. Orders and Payment
5.1 Placing Orders
- All orders are subject to acceptance by CloudFeast
- We reserve the right to refuse or cancel any order for any reason, including but not limited to:
- Product availability
- Errors in pricing or product information
- Suspected fraudulent activity
- Delivery address outside our service area
5.2 Pricing
- All prices are listed in Philippine Pesos (PHP) and include applicable taxes unless otherwise stated
- Prices are subject to change without notice
- Delivery fees, service fees, and other charges will be clearly displayed before order confirmation
- We reserve the right to correct pricing errors
5.3 Payment
- Payment must be made at the time of order placement
- We accept the following payment methods: [Credit Cards, Debit Cards, E-wallets, Cash on Delivery, etc.]
- By providing payment information, you represent that you are authorized to use the payment method
- You authorize CloudFeast to charge the payment method for the total order amount
5.4 Promotional Codes and Discounts
- Promotional codes are subject to specific terms and conditions
- Codes cannot be combined unless explicitly stated
- CloudFeast reserves the right to cancel or modify promotions at any time
- Fraudulent use of promotional codes may result in account suspension
6. Delivery
6.1 Delivery Service
- Estimated delivery times are approximate and not guaranteed
- Delivery times may vary based on distance, weather, traffic, and order volume
- You must provide accurate delivery address and contact information
- You or your authorized recipient must be available to receive the order
6.2 Delivery Area
- Delivery is only available within our designated service areas
- Service areas are subject to change without notice
- We reserve the right to decline deliveries outside our service area
6.3 Failed Delivery
- If delivery cannot be completed due to incorrect address, unavailability, or refusal to accept, the order may be considered fulfilled
- In such cases, no refund will be provided unless otherwise stated in our Refund Policy
7. Food Safety and Quality
7.1 Our Commitment
- CloudFeast is committed to food safety and hygiene standards
- We comply with all applicable food safety regulations in the Philippines
- All food is prepared in licensed cloud kitchen facilities
7.2 Your Responsibilities
- Inspect food items upon delivery
- Report any quality or safety concerns within 24 hours
- Consume food within recommended timeframes
- Follow any storage or reheating instructions provided
7.3 Allergies and Dietary Restrictions
- You are responsible for informing us of any food allergies or dietary restrictions
- While we make reasonable efforts to accommodate special requests, we cannot guarantee that food items are completely free from allergens due to shared kitchen equipment
- CloudFeast is not liable for allergic reactions or dietary issues if you fail to inform us of your requirements
8. Intellectual Property
8.1 Ownership
- All content on the Platform, including text, graphics, logos, images, software, and trademarks, is the property of CloudFeast or its licensors
- The CloudFeast name, logo, and related marks are trademarks of CloudFeast
8.2 Limited License
- We grant you a limited, non-exclusive, non-transferable license to access and use the Platform for personal, non-commercial purposes
- You may not copy, modify, distribute, sell, or exploit any content without our express written permission
8.3 Prohibited Uses
You may not:
- Use the Platform for any illegal or unauthorized purpose
- Reverse engineer, decompile, or disassemble any part of the Platform
- Remove any copyright, trademark, or proprietary notices
- Use automated systems (bots, scrapers) to access the Platform
- Interfere with or disrupt the Platform’s operation
9. User Content and Conduct
9.1 Reviews and Feedback
- You may submit reviews, ratings, and feedback about our Services
- By submitting content, you grant CloudFeast a worldwide, royalty-free license to use, display, and distribute such content
- You agree not to submit content that is defamatory, offensive, fraudulent, or violates any law
9.2 Prohibited Conduct
You agree not to:
- Harass, threaten, or abuse our staff or delivery personnel
- Provide false or misleading information
- Engage in fraudulent activities or payment disputes
- Violate any applicable laws or regulations
- Use the Platform to distribute spam or malware
10. Privacy and Data Protection
Your privacy is important to us. Our collection, use, and disclosure of personal information is governed by our Privacy Policy, which complies with the Data Privacy Act of 2012 (Republic Act No. 10173). By using our Services, you consent to our data practices as described in our Privacy Policy.
11. Disclaimers and Limitation of Liability
11.1 Service Availability
- The Platform is provided “as is” and “as available”
- We do not guarantee uninterrupted, timely, or error-free service
- We reserve the right to modify, suspend, or discontinue any aspect of the Platform at any time
11.2 No Warranties
To the fullest extent permitted by law, CloudFeast disclaims all warranties, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement.
11.3 Limitation of Liability
To the maximum extent permitted by Philippine law:
- CloudFeast’s total liability shall not exceed the amount you paid for the order in question
- We are not liable for indirect, incidental, consequential, or punitive damages
- We are not liable for losses resulting from unauthorized access to your account, force majeure events, or third-party actions
11.4 Exceptions
Nothing in these Terms shall exclude or limit liability for:
- Death or personal injury caused by negligence
- Fraud or fraudulent misrepresentation
- Any liability that cannot be excluded under Philippine law
12. Indemnification
You agree to indemnify, defend, and hold harmless CloudFeast, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:
- Your violation of these Terms
- Your violation of any rights of another party
- Your misuse of the Platform
- Your violation of applicable laws or regulations
13. Third-Party Services
Our Platform may contain links to third-party websites or services. We are not responsible for the content, accuracy, or practices of third-party sites. Your use of third-party services is at your own risk and subject to their terms and conditions.
14. Termination
14.1 Termination by You
You may terminate your account at any time by contacting customer support or through account settings.
14.2 Termination by CloudFeast
We may suspend or terminate your account immediately, without notice, if:
- You violate these Terms
- You engage in fraudulent or illegal activities
- We are required to do so by law
- We decide to discontinue the Services
14.3 Effect of Termination
Upon termination:
- Your right to use the Platform will immediately cease
- Any pending orders will be processed according to our Refund Policy
- Provisions that by their nature should survive will remain in effect
15. Dispute Resolution
15.1 Informal Resolution
We encourage you to contact our customer support first to resolve any disputes informally.
15.2 Governing Law
These Terms are governed by and construed in accordance with the laws of the Republic of the Philippines.
15.3 Jurisdiction
Any disputes arising from these Terms or your use of our Services shall be subject to the exclusive jurisdiction of the courts in [Your City/Region], Philippines.
15.4 Arbitration
For disputes that cannot be resolved informally, parties agree to submit to binding arbitration in accordance with the Alternative Dispute Resolution Act of 2004 (Republic Act No. 9285) before resorting to court proceedings.
16. Force Majeure
CloudFeast shall not be liable for any failure or delay in performing its obligations due to circumstances beyond its reasonable control, including but not limited to:
- Natural disasters (typhoons, earthquakes, floods)
- War, terrorism, or civil unrest
- Government actions or regulations
- Pandemics or public health emergencies
- Power outages or telecommunications failures
17. Modifications to Terms
17.1 Right to Modify
CloudFeast reserves the right to modify these Terms at any time. Changes will be effective immediately upon posting on the Platform.
17.2 Notification
We will notify you of material changes via email, in-app notification, or by posting a notice on our Platform.
17.3 Continued Use
Your continued use of the Platform after changes to the Terms constitutes acceptance of the modified Terms. If you do not agree with the changes, you must discontinue use of the Services.
18. General Provisions
18.1 Entire Agreement
These Terms, together with our Privacy Policy and Refund & Cancellation Policy, constitute the entire agreement between you and CloudFeast regarding the Services.
18.2 Severability
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
18.3 Waiver
Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
18.4 Assignment
You may not assign or transfer these Terms without our prior written consent. CloudFeast may assign these Terms to any affiliate or successor without restriction.
18.5 Language
These Terms are written in English. Any translated versions are provided for convenience only. In case of discrepancies, the English version shall prevail.

20. Regulatory Compliance
CloudFeast operates in compliance with:
- Consumer Act of the Philippines (Republic Act No. 7394)
- Electronic Commerce Act of 2000 (Republic Act No. 8836)
- Data Privacy Act of 2012 (Republic Act No. 10173)
- Food Safety Act of 2013 (Republic Act No. 10611)
- All applicable DTI, FDA, and LGU regulations
21. Acknowledgment
BY USING CLOUDFEAST’S PLATFORM AND SERVICES, YOU ACKNOWLEDGE THAT YOU HAVE READ THESE TERMS AND CONDITIONS, UNDERSTAND THEM, AND AGREE TO BE BOUND BY THEM.
